DEALER PORTAL TERMS OF ACCESS, USE, AND CONFIDENTIALITY

These Dealer Portal Terms of Access, Use, and Confidentiality (“Terms”) govern access to and use of the dealer portal (“Portal”) operated by TARA ELECTRIC VEHICLES (“Company”).

The Portal is a restricted-access system intended solely for dealers that have been specifically approved and authorized by Company (“Authorized Dealers”). Access to the Portal is provided through approved user accounts and login credentials issued or authorized by Company.

By accessing, viewing, using, downloading, copying, or otherwise obtaining any information or content through the Portal, the Authorized Dealer and each individual accessing the Portal on its behalf (“Dealer”) acknowledge and agree to these Terms.

1. Restricted Dealer-Only Access

The Portal is private and is not intended for access or use by the general public, customers, prospective customers, competitors, unauthorized dealers, or any other unauthorized third party.

Access is permitted only to:

Authorized Dealers approved by Company; and
authorized employees, officers, managers, or other approved personnel of an Authorized Dealer who have a legitimate business need to use the Portal.

Access to the Portal is a privilege granted by Company and may be limited, suspended, or terminated at Company’s discretion in accordance with these Terms and any other applicable agreement with Dealer.

Dealer shall not permit any unauthorized person or entity to access or use the Portal.

2. Authorized Accounts and Login Credentials

Each Portal account and its associated username, password, authentication code, or other login credential (“Login Credentials”) are confidential and may be used only by the individual or authorized Dealer personnel for whom access was approved.

Dealer shall not:

provide, disclose, share, loan, transfer, sell, or otherwise make Login Credentials available to any unauthorized third party;
allow customers, prospective customers, other dealers, competitors, vendors, suppliers, consultants, friends, family members, or other unauthorized persons to use an approved Dealer account;
permit an unauthorized third party to access the Portal through Dealer’s computer, device, account, screen-sharing session, remote-access software, or other method;
create or maintain accounts for individuals who no longer require access to the Portal; or
attempt to circumvent any access restriction, authentication requirement, security measure, or user permission established by Company.

Dealer is responsible for maintaining the confidentiality and security of all Login Credentials associated with its organization.

If Dealer knows or suspects that Login Credentials have been lost, stolen, compromised, shared, or accessed by an unauthorized person, Dealer shall promptly notify Company and take reasonable steps to prevent further unauthorized access.

3. Dealer Portal Information and Materials

For purposes of these Terms, “Portal Materials” means all information, content, materials, and data available, displayed, communicated, stored, transmitted, or accessible through the Portal, whether or not such materials are capable of being downloaded.

Portal Materials include, without limitation:

documents;
PDF files;
spreadsheets;
presentations;
images and photographs;
product photographs;
videos;
graphics;
drawings;
diagrams;
manuals;
service information;
repair information;
technical information;
product specifications;
engineering information;
parts information;
parts diagrams;
warranty information;
warranty procedures;
pricing;
dealer pricing;
suggested pricing;
promotions;
incentives;
rebate information;
sales programs;
dealer programs;
inventory information;
availability information;
ordering information;
product plans;
product updates;
new-product information;
marketing materials;
advertising materials;
training materials;
policies;
procedures;
forms;
reports;
communications;
announcements;
notices;
bulletins;
software;
databases;
data;
downloadable files;
links;
Portal pages and screens;
screenshots of Portal pages;
information copied from the Portal;
information communicated through or obtained from the Portal; and
any other non-public information made available to Dealer through the Portal.

These Terms apply to Portal Materials regardless of their format and regardless of whether the information is viewed online, downloaded, printed, photographed, copied, saved, forwarded, reproduced, summarized, extracted, or otherwise recorded.

4. Confidential and Dealer-Only Information

Dealer acknowledges that the Portal and Portal Materials may contain confidential, proprietary, commercially sensitive, or non-public information belonging to Company or its affiliates, licensors, suppliers, business partners, or other parties.

Unless Company expressly identifies particular Portal Materials as approved for public or external distribution, Dealer shall treat all non-public Portal Materials as confidential and for Authorized Dealer use only.

The absence of a “Confidential,” “Dealer Only,” “Proprietary,” or similar designation does not mean that Portal Materials may be shared with unauthorized third parties.

5. Internal Business Use Only

Portal Materials may be used only for legitimate business purposes directly related to Dealer’s authorized relationship with Company.

Dealer may share Portal Materials internally only with Dealer personnel who:

are authorized to receive the information;
have a legitimate business need to know the information;
are acting within the scope of their responsibilities for the Authorized Dealer; and
are required to protect the confidentiality of the information.

Dealer is responsible for ensuring that its employees and authorized personnel comply with these Terms.

Internal sharing does not authorize public distribution or disclosure to any third party outside Dealer’s authorized organization.

6. Prohibition on Third-Party Sharing and Disclosure

Dealer shall not disclose, distribute, transmit, publish, display, provide, forward, upload, post, reproduce for external distribution, sell, sublicense, transfer, or otherwise make Portal Materials available to any unauthorized third party without Company’s prior written authorization.

This prohibition applies to the Portal Materials themselves as well as to the information contained in or derived from the Portal Materials.

Unauthorized disclosure includes, without limitation, providing Portal Materials or Portal information to:

customers;
prospective customers;
unauthorized dealers;
former dealers;
competing dealers;
competitors of Company;
manufacturers or distributors not authorized by Company;
vendors;
suppliers;
contractors;
consultants;
industry groups;
media organizations;
journalists;
bloggers;
online communities;
social media users;
public websites;
online marketplaces;
forums;
messaging groups;
file-sharing platforms;
artificial intelligence or third-party data-processing services not approved by Company; or
any other person or entity that Company has not authorized to receive the information.

Dealer shall not disclose Portal Materials merely because the recipient requests the information or has a business relationship with Dealer.

7. No Unauthorized Sharing of Pictures, Screenshots, or Portal Content

Dealer shall not photograph, screenshot, screen-record, copy, reproduce, capture, or otherwise record Portal Materials for the purpose of providing them to an unauthorized third party.

Without Company’s prior authorization, Dealer shall not:

post Portal photographs or images on social media;
publish Portal screenshots;
forward screenshots of pricing, product information, programs, or other Portal pages;
copy Portal content into public websites, advertisements, listings, forums, or other public materials;
provide Portal photographs, documents, or information to customers when the applicable materials have not been approved for customer distribution; or
reproduce Portal Materials in a manner that allows unauthorized third parties to access confidential or Dealer-only information.

If Company specifically identifies certain materials as approved for customer-facing, marketing, advertising, or public use, Dealer may use those materials only for the approved purpose and subject to any additional instructions provided by Company.

8. No Sharing of Portal Access

Dealer shall not provide Portal access to an unauthorized third party for any reason.

Prohibited conduct includes, without limitation:

sharing usernames or passwords;
giving another person temporary access to an account;
allowing an unauthorized person to log in using Dealer’s account;
providing access through a shared computer while the Dealer account remains logged in;
screen-sharing or remotely displaying restricted Portal content to unauthorized third parties;
forwarding authentication links or verification codes;
storing Login Credentials in publicly accessible locations;
permitting former employees or former authorized users to continue accessing the Portal; or
using a Dealer account to obtain information on behalf of an unauthorized third party.

Dealer shall establish reasonable internal controls to protect its Portal accounts and Login Credentials from unauthorized use.

9. Dealer Responsibility for Authorized Users

Dealer is responsible for all Portal access and activity occurring through accounts assigned to or maintained for Dealer, except to the extent prohibited by applicable law.

Dealer shall ensure that each individual provided with Portal access:

understands that the Portal is restricted;
understands that Portal Materials may be confidential;
does not share Login Credentials;
does not provide unauthorized third parties with Portal access;
does not improperly disclose Portal Materials; and
complies with these Terms and any additional Portal policies established by Company.

Dealer shall promptly notify Company when an employee or other authorized user no longer requires Portal access, including because of termination of employment, change of job responsibilities, or separation from Dealer.

10. Security and Protection of Portal Materials

Dealer shall use reasonable administrative, technical, and physical safeguards to protect Portal Materials and Login Credentials against unauthorized access, disclosure, copying, alteration, loss, or distribution.

Dealer shall not knowingly store confidential Portal Materials in publicly accessible locations or use unsecured methods to distribute confidential Portal Materials.

Dealer should limit access to Portal Materials to personnel with a legitimate business need to know.

11. Unauthorized Access or Disclosure

If Dealer becomes aware of or reasonably suspects:

unauthorized Portal access;
compromised Login Credentials;
unauthorized downloading or copying;
unauthorized disclosure of Portal Materials;
improper sharing of photographs or screenshots;
disclosure of confidential information;
theft or loss of devices containing Portal Materials; or
any other actual or suspected security incident affecting the Portal or Portal Materials,

Dealer shall promptly notify Company.

Dealer shall reasonably cooperate with Company in investigating, limiting, correcting, or mitigating any unauthorized access, use, or disclosure.

12. Prohibited Uses

Dealer shall not use the Portal or Portal Materials:

for any purpose unrelated to Dealer’s authorized business relationship with Company;
for the benefit of an unauthorized third party;
to assist a competitor of Company;
to collect information for competitive intelligence unrelated to Dealer’s authorized activities;
to create or maintain an unauthorized database of Company information;
to scrape, crawl, automatically extract, harvest, or systematically copy Portal content unless expressly authorized by Company;
to reverse engineer any Portal technology or security feature;
to interfere with Portal operation or security;
to misrepresent Portal Materials as Dealer’s own proprietary materials;
to remove copyright notices, trademarks, confidentiality markings, watermarks, proprietary notices, or other ownership notices;
to alter Portal Materials in a manner that falsely represents Company’s products, policies, pricing, programs, or statements;
to use obsolete or superseded information in a misleading manner; or
for any unlawful, fraudulent, deceptive, or unauthorized purpose.

13. Information Approved for External Use

Company may from time to time make certain Portal Materials available specifically for customer-facing, advertising, promotional, marketing, social media, sales, or other external use.

Where Company clearly identifies Materials as approved for such external use, Dealer may use those Materials for the approved purpose subject to Company’s branding requirements, marketing guidelines, dealer agreement, and other applicable policies.

The fact that a particular item is downloadable does not, by itself, mean that the item is approved for public or third-party distribution.

Dealer is responsible for determining whether the applicable material has been approved for external use before distributing it outside Dealer’s authorized organization.

14. Ownership and Intellectual Property

Except where otherwise indicated, the Portal and Portal Materials are owned by, licensed to, or otherwise controlled by Company and may be protected by copyright, trademark, trade secret, contractual rights, or other intellectual property or proprietary rights.

Dealer’s Portal access does not transfer ownership of any Portal Materials or intellectual property rights to Dealer.

Subject to these Terms, Company grants Dealer a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use Portal Materials solely for Dealer’s authorized business purposes.

15. No Transfer of Portal Rights

Dealer may not assign, transfer, sublicense, sell, rent, lease, or otherwise provide its Portal access rights to another dealer, business, organization, or third party.

Company’s approval of one Dealer location, entity, account, or user does not automatically authorize access by another location, affiliate, sister company, related business, reseller, distributor, or other entity.

Any additional access must be separately authorized by Company where required.

16. Accuracy and Changes to Portal Information

Company may update, modify, replace, remove, or discontinue Portal Materials at any time.

Dealer is responsible for confirming that it is using the most current applicable information available through the Portal.

Unless otherwise expressly agreed in writing, Company does not guarantee that all Portal Materials will be continuously available, error-free, or suitable for every particular purpose.

17. Suspension or Termination of Portal Access

Company may suspend, restrict, deactivate, or terminate Dealer’s Portal access if Company reasonably believes that:

Dealer or an authorized user has violated these Terms;
Login Credentials have been compromised;
unauthorized Portal access has occurred;
Portal Materials have been improperly disclosed or distributed;
Dealer is no longer an Authorized Dealer;
Dealer’s relationship with Company has been suspended or terminated; or
continued access presents a security, confidentiality, legal, or business risk.

Suspension or termination of Portal access does not eliminate Dealer’s continuing obligations regarding confidential or proprietary information previously obtained from the Portal.

18. Return, Deletion, and Continued Confidentiality

Upon Company’s request or termination of Dealer’s authorized relationship with Company, Dealer shall cease accessing and using restricted Portal Materials.

If requested by Company, Dealer shall reasonably delete, destroy, or return confidential Portal Materials in Dealer’s possession or control, subject to applicable law and legitimate record-retention requirements.

Dealer’s confidentiality and non-disclosure obligations regarding confidential Portal Materials shall continue after Portal access or Dealer authorization has ended to the extent provided by applicable law or other agreements between Dealer and Company.

19. Violation of These Terms

Unauthorized sharing of Login Credentials, unauthorized Portal access, or unauthorized disclosure or distribution of Portal Materials constitutes a material violation of these Terms.

Company may take appropriate action in response to a violation, including:

restricting Portal permissions;
suspending or terminating user accounts;
suspending or terminating Dealer Portal access;
requiring deletion or return of improperly distributed materials;
requiring corrective actions;
exercising rights available under Dealer’s agreement with Company; and
pursuing any other rights or remedies available under applicable law.

20. Relationship to Dealer Agreements and Other Policies

These Terms supplement any dealer agreement, nondisclosure agreement, confidentiality agreement, terms of use, information-security policy, intellectual-property policy, or other agreement between Company and Dealer.

If another applicable agreement imposes stricter restrictions regarding confidentiality, information security, use, disclosure, intellectual property, or Portal access, the stricter requirements shall continue to apply.

21. Acceptance of Terms

By logging into, accessing, or using the Portal, Dealer acknowledges and agrees that:

the Portal is restricted to Authorized Dealers and authorized Dealer personnel;
Dealer will protect its Login Credentials and will not provide Portal access to any unauthorized third party;
Dealer will treat non-public Portal Materials as confidential and for authorized Dealer use only;
Dealer will not share, disclose, distribute, publish, or otherwise provide Portal Materials or information contained in the Portal to unauthorized third parties;
Dealer will not share Portal files, documents, pictures, photographs, screenshots, videos, pricing, specifications, technical information, programs, or other non-public information with unauthorized third parties;
Dealer will use Portal Materials only for legitimate business purposes related to Dealer’s authorized relationship with Company;
Dealer is responsible for ensuring that its authorized personnel comply with these Terms; and
the individual accessing the Portal represents that he or she is authorized to access the Portal on behalf of the Authorized Dealer.

UNAUTHORIZED ACCESS, SHARING OF LOGIN CREDENTIALS, OR DISCLOSURE OF RESTRICTED PORTAL INFORMATION IS STRICTLY PROHIBITED.
